four.1) Description
four.1.1) Type of procedure

Explanation:
In 2018 Dover Harbour Board (DHB) awarded a framework agreement for provision of Mechanical and Electrical (M&E) services to the Port of Dover. The agreement was awarded as a 4 year term expiring October 2022. The contractor has encountered difficulties in delivering the services, due significantly to the impact of changes in planned activities as a result of COVID-19. These circumstances were unforeseeable and both parties have subsequently agreed that the collaborative plans to deliver the services are not sustainable and the contractor will cease to provide the services from 31/12/2021.
DHB cannot comply with the procedures with a prior call for competition due to the timelines required for compliance (even under an accelerated procedure) at this juncture due to resource constraints which prevent DHB from running a new tender process for such critical services alongside other pre-planned procurement activities required urgently in response to changes in regulations for UK Border Controls (UK EES).
DHB requires the services to be delivered efficiently with effect from 5 January 2022 and throughout 2022, so it has approached the second ranked contractor in the original tender to achieve a smooth transition to service delivery. The new contractor will commence works from 5 January 2022 and staff will transfer across in accordance with TUPE regulations.
DHB has determined that, given the situation it has found itself in, it would be reasonable to place a direct award for a period of 24 months in order to;
(i) provide a period stability to allow the contractor to transition delivery of the services effectively, and
(ii) provide stability for the affected staff in the interim.
During this interim contract period DHB intends to review its requirement for future M&E services and commence procurement to fulfil these future requirements.
The proposed contractor is DMA Group based at Unit 5 Beaufort House, Sir Thomas Longley Road, Rochester, Kent, ME2 4FB
For the avoidance of doubt, DHB shall not enter into this new framework agreement until 5 January 2022.
