Cwm Taf Morgannwg University Health Board (CTMUHB) currently have a Pathology Managed Laboratory Service contract with Roche Diagnostics Ltd. This contract was awarded in December 2017 following an OJEU procurement exercise for an initial term of eight (8) years to 14th December 2025, with the option to extend at the Health Board’s discretion for a further four (4) years in twelve (12) month increments until 15th December 2029.

The Pathology Managed Laboratory Service contract includes the provision of laboratory equipment, with servicing and related

consumables which facilitates the delivery of Pathology Services across CTMUHB. The equipment and consumables for testing span Biochemistry, Haematology, Blood-bank, Micro-Biology and Histopathology, but to varying percentages in terms of equipment and consumable reliance.

seven.1.4) Description of the procurement:

Cwm Taf Morgannwg University Health Board is proposing to add an additional two (2) years on to the current contract to take the contract to 14th December 2031, to enable the Health Board to undertake an equipment refresh and align the remaining term of the contract with the equipment lifespan (7 years).This modification is being made under PCR 2015 regulation 72c, due to unforeseen circumstances that the Health Board was not aware of at the time of contract award. Specifically, due to Welsh Government boundary changes in 2019, the Health Board acquired additional NHS sites and associated equipment that could not be foreseen at the initial contract award stage.

seven.2) Information about modifications

seven.2.1) Description of the modifications

Nature and extent of the modifications (with indication of possible earlier changes to the contract):

For the reasons in VII.1.4, Cwm Taf Morgannwg University Health Board is proposing to add an additional two (2) years on to the current contract take the contract to 14th December 2031 which will enable the Health Board to undertake an equipment refresh, which is critical for delivering core diagnostic services and align the contract term to the life span on the equipment (every 7 years) and will ensure that Pathology Services across Princess of Wales Hospital, Prince Charles Hospital, and Royal Glamorgan Hospital are aligned to support the transition and consolidation of Pathology services when Princess of Wales Hospital is disaggregated from SBUHB.

seven.2.2) Reasons for modification

Need for modification brought about by circumstances which a diligent contracting authority/entity could not foresee.

Description of the circumstances which rendered the modification necessary and explanation of the unforeseen nature of these circumstances:

The unforeseen circumstances that have resulted in the need for this modification is the change in the Cwm Taf Morgannwg University Health Board (CTMUHB) boundary and subsequent need to disaggregate The Princess of Wales Hospital (POW) from the Swansea Bay University Health Board (SBUHB) boundary into the CTMUHB boundary.

Extending the current CTMUHB Contract until 2031, will mean that when the SBUHB POW Pathology Managed Service contract expires, the equipment will transfer to CTMUHB and the modification will ensure the efficacy of service provision comparable with other CTMUHB Pathology sites.
