The proposed contract will provide continuity of service based upon the existing solution in which there has been significant prior investment, development of expertise within the user community and on which current operational processes within GP practices and the wider NHS Scotland rely. As a result there is no financially or administratively reasonable or viable alternative to the current system to meet the needs of the service during the period of the proposed contract.

four.1) Description
four.1.1) Type of procedure
Negotiated without a prior call for competition
- The works, supplies or services can be provided only by a particular economic operator for the following reason:
- protection of exclusive rights, including intellectual property rights
Explanation:
The contracting authority holds a perpetual licence to use the relevant software and the supplier is the exclusive sub-contractor providing support for that software within the geographical area of Scotland. Through that sub-contract the supplier has access to the necessary support from the owner of the intellectual property rights in the Software and is therefore the only economic operator who can supply the required support services. The proposed contract will provide continuity of service based upon the existing solution in which there has been significant prior investment, development of expertise within the user community and on which current operational processes within GP practices and the wider NHS Scotlandrely. As a result there is no financially or administratively reasonable or viable alternative to the current system to meet the needs of the service during the minimum period of the proposed contract. The proposed contract will be for a maximum period of 4 years. An Outline Business Case has been approved to go to tender for a successor document management system. It is anticipated that once that contract is in place there will be a managed transition from the current system to the new system over a period of time and the volume of services that are required from this contract will reduce.
