Hertfordshire Catering Ltd (HCL) is currently out to procurement for the provision of Grocery, Fresh, Chilled and Frozen Foods. two.2.4) Description of the procurement

Hertfordshire Catering Limited (hereinafter referred to as HCL), is a Company limited by shares and wholly owned by Hertfordshire County Council (HCC). HCL is an award-winning contract caterer, dedicated to delivering excellence in educational catering and commercial sectors throughout Hertfordshire and surrounding counties. HCL has a requirement for the Provision of Grocery, Fresh, Chilled and Frozen Foods (hereinafter referred to as "Goods") to be delivered to various sites as listed in the tender documentation. All Goods supplied under this Contract must comply with all relevant legislation in force at the time. There will be a need for the Supplier to have a flexible approach as during the contract period the pattern, variety and volume of demand for Goods as well as the number of sites may be subject to change, and it is stressed that there are no undertakings concerning likely volume of demand. For guidance only, HCL’s estimated annual value of spend is approximately £10m. However, HCL reserves the right to adjust this requirement or grow their business during the duration of the Agreement should we wish to do so.Tenderers must submit a tender based on the Specifications, to the required levels of performance and the risk allocation embodied in the Contract. The successful Tenderer will be required to enter into a Contract with HCL under the terms set out in the Contract.The estimated total value of the Contract is stated in II.1.5) of this notice and is for the initial term inclusive of the approximate value for extensions. HCL are exploring ways to increase their business in future years over the life of this Contract including working with other public sector bodies, which may or may not affect their ability to reach the estimated total value stated. Therefore, the spend under the contract will depend on the uptake of new services. HCL does not make any guarantees the contract will reach this value at any point in the life of the contract, nor does it guarantee future business growth. For the avoidance of doubt, the current estimated annual value of the Contract will be approximately £10,000,000.00 based on HCL’s current spend on the specified goods.The Contract will be awarded for an initial term of five years, with the option to extend the Contract up to three further years (two plus one year). Please note that the contract requirements will be subject to available financial resources, supplier performance and flexibility to meet changing demands.There will be no form of exclusivity or volume that is guaranteed under the Contract and HCL will be entitled to enter into other contracts and arrangements with other suppliers for the provision of any, or all, of the requirements which are the same as, or similar to those specified under the established Contract.Full details are in the tender documentation.

The Contracting Authority will incorporate a minimum 10 calendar day (when using electronic means) standstill period at the point information on the award of the Contract is communicated to tenderers. This period allows unsuccessful tenderers to challenge the decision to award a Contract before a contract is executed/signed (as appropriate). The Public Contracts Regulations 2015 (‘Regulations’) provide for aggrieved parties who have been harmed or at risk of harm by a breach of the rules to take action in the High Court (England, Wales and Northern Ireland). Any such action must be brought promptly and within the time limits as defined in the above regulations. Where a Contract has not been entered into the court may order the setting aside of the award decision or order the contracting authority to amend any document and may award damages. If the Contract has been entered into the court has the options to award damages and/or to shorten or order the Contract ineffective.
