Lot 1. Financial Legal and Regulatory Compliance
Description
• FCA and PRA regulations, including UK regulatory capital requirements, Consumer Duty, CCA/CONC and ICOBS
• AML/KYC issues, particularly relating to the provision of investments, grants, loan and subsidies

Description
• UK GDPR, Data Protection Act 2018 and associated laws and regulations
• The direct or indirect collection, handling and dissemination of personal and/or sensitive data for analytical and research purposes

• AI and its use in a mission-based organisation
• Data breaches, including interactions with relevant regulators and remediation

Lot 3. Structured Finance
Description
• Establishing and facilitating complex investment structures, including debt and equity investments, SPV arrangements and use of guarantees
• Funding structures into CDFIs, Industrial & Provident Societies, charities, credit unions or a non-standard legal entity
• Novel or new funding structures which were without precedent

Lot 4. Competition Law and Procurement
Description
• UK Subsidy Control Act 2022 (the "Act") and associated regulations, including practical application of the provisions to achieve workable outcomes
• Schemes and individual awards under the Act, highlighting how any challenges were dealt with and/or referrals to the SAU
• Procurement Act 2023 and associated regulations

Description
• Corporate governance issues, including not-for-profit entities limited by guarantee and non-standard legal entities
• General employment law issues
• Intellectual property rights, protection and enforcement
• Disputes, mediation and court proceedings, including specific experience on disputes concerning funding structures, public bodies, supplier contracts and/or provision of subsidies

Framework operation description
Fair4All Finance will use the framework in the following ways:
- Further Competition - inviting all providers on a particular lot to bid for a specific piece of work. The rate card submitted at Stage Two will provide a ceiling for costs quoted in your response.
- Direct Award - a single provider is asked to tender for a specific piece of work. The rate cards submitted at Stage Two will provide a ceiling for costs quoted in your response.
Use of direct award will be limited to the following circumstances:
- The provider is the only appointed specialist able to meet the requirement
- The requirement is a continuation of existing work where a change in provider would cause technical difficulties
Following each Further Competition or Direct Award, a Call-Off Contract will be issued. This will be in the form of an Order Form and any additional terms agreed at that point i.e. providers Terms of Engagement.

Fair4All Finance is seeking to procure a Framework of Legal Service Providers to support us in delivering our work.
The Framework will be open (subject to appointing sufficient providers) which means it could run for up to 8 years.
Fair4All Finance are planning 2 refresh procedures during the frameworks duration.
We will be appointing Providers via a Competitive Flexible Process.
All potential providers must be registered on the Central Digital Platform to apply.
This process relates to Planned Procurement Notice no. 2025/S 000-037979 published on the 7 July 2025.
The process will include the following stages:
1. Conditions of Participation within a Procurement Specific Questionnaire will be used to shortlist suppliers
2. Tender documents will be issued to the shortlist
3. Prospective suppliers will be interviewed or asked to present to the evaluation panel
The top 2 or 3 suppliers for each lot will be awarded a place.
