seven.1.4) Description of the procurement:
This is a modification to an existing contract between the Department for Energy Security and Net Zero and Linklaters LLP. The scope of the contract is for the provision of legal services regarding legal and commercial matters concerning the Sizewell C project, as well as the role of DESNZ as project sponsor and shareholder.
Additional services have become necessary due to extended project timelines. The supplier's services are essential to the achievement of the SZC Final Investment Decision and progression of the programme.
The variation is composed of an eight-month extension in time and a 50% extension in value under Regulation 72 (1) (b) and 72 (2) of the Public Contracts Regulations 2015.
Original award value: £15,960,000 (excl. VAT). 01/12/2023-30/09/2024.
Modification one (Sep-24): £7,980,000 (excl. VAT). 01/12/2023-31/07/2025. Modified contract value: £23,940,000.
Modification two (Jul-25): £7,980,000 (exlc. VAT). 01/12/2023-31/03/2026. Modified contract value: £31,920,000.

Nature and extent of the modifications (with indication of possible earlier changes to the contract):
Original award value (01/12/2023): £15,960,000 (excl. VAT). End date: 30/09/2024 (+ two optional 3-month extensions).
Modification one (26/09/2024): £7,980,000 (excl. VAT) + 10-month extension. New end date: 31/07/2025. Modified contract value: £23,940,000. DESNZ amended the contract to increase the scope of Linklaters' services in relation to the Sizewell C capital raise process.
Modification two (16/07/2025): £7,980,000 (excl. VAT) + 8-month extension. New end date: 31/03/2026. Modified contract value: £31,920,000. DESNZ increased the duration and value of the contract to enable access to Linklaters' services up to and beyond the Sizewell C Final Investment Decision. DESNZ have modified the contract as above as a result of extended project timelines.

Description of the economic or technical reasons and the inconvenience or duplication of cost preventing a change of contractor:
Additional services are required towards the completion of the SZC capital raise process due to extended project timeframes. Any change in contractor would cause significant inconvenience and substantial duplication of costs because the incumbent is uniquely placed to advise HMG and the project is at a critical stage close to completion.
