two.2.4) Description of the procurement at the time of conclusion of the contract:

The Driver and Vehicle Standards Agency (“DVSA” or ‘the Authority”) entered into an agreement with Pearson Professional Assessments Limited (“TETCM Agreement”) for the provision of services.

The TETCM Agreement is responsible for providing a Supplier Software Solution that will enable the Authority and DVA (Driver Vehicle Agency - Northern Ireland) to manage and create a variety of vehicle Test Types and the associated systems needed to deliver the Driver Theory tests to Candidates across the UK and Northern Ireland.

DVSA requires this service to deliver the Test Engine and Test Content Management (TETCM) system for the Theory Test services, that work in tandem with the network of Theory Test Centres.

Services include:

• The software solution to enable the management and creation of test compliant content.

• The software solution to enable delivery of test content to candidates across the Test Centre Network (TCN).

• The software solution to enable admissions and control of test delivery by Test Centre staff.

• Ongoing support of the service.

In order to maintain the service for the remainder of the term and expiry 5th September 2025 the financial value of the current TETCM Agreement will need to be increased.

This notice relates to a Modification of the TETCM Agreement in accordance with Regulation 72 (1)(c) of the Public Contract Regulations 2015. The Modification being an increase in financial contract value of £5,389,072 (from £24,610,928 to £30,000,000).

seven.2.1) Description of the modifications

Nature and extent of the modifications (with indication of possible earlier changes to the contract):

The contract modification addressed by this Notice is for the increase in financial contract value to ensure provision of essential ongoing services and continuity of the current delivery model.

The Agency have a statutory obligation to deliver the Theory Test and therefore there can be no gap in service delivery.

Other than the financial contract value increase of the Agreement, as set out under this Modification Notice, all other terms and conditions shall remain the same.

There have been no previous Modification/s to the contract financial value and/or contract term.

seven.2.2) Reasons for modification

Need for modification brought about by circumstances which a diligent contracting authority/entity could not foresee.

Description of the circumstances which rendered the modification necessary and explanation of the unforeseen nature of these circumstances:

This notice relates to the modification of an existing contract under regulation 72(1)(c) of the Public Contracts Regulations 2015 ("PCR").

The modification has become necessary because of the unforeseen increase in demand for the service following the Covid-19 Pandemic; increased contract spend is as a result of increased demand.

The modification to the contract value is based upon current forecasting & allowance for annual CPI increases with a small tolerance.

The modification does not exceed 50% of the original contract value: Original Contract Value £24,610,928, Modification to Contract Value + £5,389,072, Total Contract Value £30,000,000.

The modification does not alter the overall nature of the contract.

The modification does not alter the contractual term of the contract.
