seven.2) Information about modifications
seven.2.1) Description of the modifications
Nature and extent of the modifications (with indication of possible earlier changes to the contract):
The contract award notice lists Quadron Services Limited as the Supplier. The tender was submitted by Quadron Services before Idverde Limited acquired them.
The awarded contract commenced on 1st April 2017 for a period of 5 years, with the option of 3, 1-year extensions that were provided for in the initial procurement documents. These extension options have all been utilised and the current contract end date is 31st March 2025.
The London Borough of Camden is going out to tender for a new contract to commence on 1st April 2026, for the majority of the Grounds Maintenance Service. Part of the current Service (the Horticultural Service) will also be insourced from that date. In order to complete the tendering process, including consultation with Leaseholders under Section 20 of the Landlord and Tenant Act 1985 and Schedule 2 of the Service Charges (Consultation Requirements) (England) Regulations 2003, and the work to insource the Horticultural Service, the Contract is being extended for a period of 12 months from 1st April 2025. A waiver of the Council's Contract Standing Orders has been approved, with legal advice included in the report.
seven.2.2) Reasons for modification
Need for additional works, services or supplies by the original contractor/concessionaire.
Description of the economic or technical reasons and the inconvenience or duplication of cost preventing a change of contractor:
Regulation 72(1)(b) of the Public Contracts Regulations 2015 (PCR) permit contracts to be modified without a new procurement procedure where additional services by the original contractor have become necessary and were not included in the initial procurement, where a change of contractor -
(i) cannot be made for economic or technical reasons such as requirements of interchangeability or interoperability with existing equipment, services or installations procured under the initial procurement, or
(ii) would cause significant inconvenience or substantial duplication of costs for the contracting authority,
provided that any increase in price does not exceed 50% of the value of the original contract.
The regulations require that a modification notice is published in Find a Tender.
The estimated value of the extension is within the remit of PCR 72(1)(b). To put a new 1 year contract in place for April 2025 would not be commercially viable due to the length of time required for the consultation and procurement processes. Any potential operators in the market will have the opportunity to tender for the new contract, with the tender process estimated to commence in October 2024. The Council considers that the above justification provides rationale, and renders lawful the seeking of an extension to the current contract to allow for the procurement process, including Leaseholder consultation, insourcing and TUPE processes.
