Nature and extent of the modifications (with indication of possible earlier changes to the contract):
Proposed modification to the Tariffs set out in Table 2 of Schedule 18 of the Contract from 20th June 2022 (inclusive of 20% VAT):
Lamp Column Chargers and /Fast Chargers (car park and on-street) from 26p per kWh to 39p per kWh; and
Rapid Chargers (both public and e taxi charging bays) from 27p per kWh to 44p per kWh.
If the prices the Concessionaire pays to its supplier for electricity prices fall then the Concessionaire will reflect that decrease and reduce the charges in the Tariff commensurately.

Description of the circumstances which rendered the modification necessary and explanation of the unforeseen nature of these circumstances:
The need for modification was brought about by circumstances which a diligent contracting authority/entity could not have foreseen at the time the contract was entered into.
The modification does not alter the overall nature of the contract and the Tariff increase will not have the effect of increasing the value of the contract by 50% .
There has been an unprecedented rise in global electricity costs which could not have been foreseen by a diligent contracting authority at the time this contract was entered into.
