seven.2) Information about modifications

seven.2.1) Description of the modifications

Nature and extent of the modifications (with indication of possible earlier changes to the contract):

The Authority entered into a contract with Contech International on 01/10/2019 for services in Pakistan following an Open Competition. The contract provided for extensions which were subsequently exercised. A further extension was exercised for the 12 month period to 31/03/2024 with the application of Regulation 72(1)(e).

A Contact Modification (CM) has now been executed in accordance with Regulation 72(1)(b) of the Public Contracts Regulations 2015. The CM is for an extension of the contract term of up to six (6) months to 30/09/2024 and an increase in the maximum contract value by £750,000 (excl. VAT).

Regulation 72(1) Contracts and framework agreements may be modified without a new procurement procedure in accordance with this Part in any of the following cases:-

(b) for additional works, services or supplies by the original contractor that have become necessary and were not included in the initial procurement, where a change of contractor-

The Authority is preparing to re-procure the services and in doing so it has become necessary to make referral to a Transfer of Undertakings (Protection of Employment) Regulations 2006 ("TUPE") specialist lawyer at Government Legal Department (GLD). The extension is required to enable continuation of services while the re-procurement is completed and a TUPE assessment carried out.

(i) cannot be made for economic or technical reasons such as requirements of interchangeability or interoperability with existing equipment, services or installations procured under the initial procurement, or

Technical experts engaged by Contech International for the service delivery are in short supply and difficult to engage and employ in the industry. Contech International was the only Tenderer during the last procurement exercise. A short-term change of contractor would create economic and technical difficulties as the experts are integral to the Authority's International Health Regulations (IHR) service delivery within the host country (Pakistan);

(ii) would cause significant inconvenience or substantial duplication of costs for the contracting authority,

The Authority intends to re-procure the services via a competitive tender. Changing contractor for a short term while the competitive tender is prepared and completed would be both costly and result in significant inconvenience to the Authority's global health operations in Pakistan potentially rendering them unable to meet the objectives of the IHR Project.

provided that any increase in price does not exceed 50% of the value of the original contract;

With an estimated total contract value of £1,502,993 excl. VAT (£1,803,592 incl. VAT), the £750,000 excl. VAT (£900,000.00 incl. VAT) modification amounts to c. 49.9% to the original contract value.

seven.2.2) Reasons for modification

Need for additional works, services or supplies by the original contractor/concessionaire.

Description of the economic or technical reasons and the inconvenience or duplication of cost preventing a change of contractor:

The contract extension and longer duration has become necessary to allow continuation of services while a specialist lawyer at Government Legal Department (GLD) is engaged to advise on Transfer of Undertakings (Protection of Employment) Regulations 2006 ("TUPE") matters during the preparation of a re-procurement.

seven.2.3) Increase in price

Updated total contract value before the modifications (taking into account possible earlier contract modifications, price adaptions and average inflation)

Value excluding VAT: £315,338,500

Total contract value after the modifications

Value excluding VAT: £390,338,500
