The University of Edinburgh (the “University”) appointed Inoapps Limited and Oracle Corporation UK Limited in April 2019 to provide a Software as a Service (SaaS) based solution for the University’s Finance (including Procurement) and HR (including Payroll) “Core Systems” and associated services.

The contract is for a period of 5 years with the option to extend four times for a period of 3 years (5 + 3 + 3 + 3 + 3).

seven.2) Information about modifications

seven.2.1) Description of the modifications

Nature and extent of the modifications (with indication of possible earlier changes to the contract):

In accordance with the permitted contractual change mechanism, over the period 1st Nov 22 - 31st Oct 23 the University has undertaken a number of contract modifications; these take account of changes in requirements and additional work to be delivered under the existing contract. The ‘total contract value after the modifications value excluding VAT' in this notice has been updated to include these.

These modifications were necessary and largely a result of additional requirements and internal requirements changes.

The overall nature and duration of the contract as described under ‘II.2) Description’, remains unchanged.

seven.2.2) Reasons for modification

Need for additional works, services or supplies by the original contractor/concessionaire.

Description of the economic or technical reasons and the inconvenience or duplication of cost preventing a change of contractor:

Inoapps Ltd are supporting the design of the University's transformed business processes, enabled by the technical solution using the Oracle SaaS platform. Another contractor would not have access to the Inoapps proprietary methodology for design and implementation;

and disclosure of the methodology or technical products from that approach to a third party would be a breach of confidentiality. As such a change of contractor cannot be made for these technical reasons.

Any change in contractor would also cause significant disruption, duplication of internal and external costs and also add significant inconvenience and complexity in support arrangements post implementation.
